Seminar on “Legal Risks of VIE Agreements” Successfully Held in BAC

In the afternoon of August 15, 2013, the first seminar of the Corporate Law Salon of Beijing Arbitration Commission (hereinafter referred to as “BAC”) themed on “Legal Risks of VIE Agreements” was successfully held in BAC’s International Conference Hall. The seminar was presided over by Mr. TAO Jingzhou, an arbitrator of BAC and Managing Partner of Dechert LLP Beijing Representative Office, and attended by BAC’s Secretary-general LIN Zhiwei and Deputy Secretary-general CHEN Fuyong. Members of BAC’s Corporate Law Salon and professionals of different fields from government agencies, financial institutions, investment companies and fund companies participated in the discussions. On the basis of relevant cases, the participants carried out in-depth analysis and discussions of such issues as the validity of VIE agreements, the relationship between VIE agreements and current laws and possible legal risks, and the treatment of VIE agreements; they also provided valuable suggestions on how should the market make proper responses in the current legal environment and how should arbitration institutions prudently resolve relevant disputes. At the end of the seminar, Ms. LIU Xiaoning, Legal Director of Matrix Partners China, delivered the summarizing speech and expressed her feelings and experience from the perspective of a legal practitioner.

The participants highly appraised the results of the seminar, and the seminar came to a successful end in the applauses of the participants.

All disputes arising from or in connection with this contract shall be submitted to Beijing Arbitration Commission / Beijing International Arbitration Center for arbitration in accordance with its rules of arbitration. The arbitral award is final and binding upon both parties.
